BY INSTALLING, ACCESSING, OR USING MULTIAXIS INTELLIGENCE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE.

PREAMBLE

AI, for all its advancements, still operates within the bounds of its programming. As powerful as it is, AI should augment rather than replace our human judgement and expertise. AI can guide us and enhance our processes, but it still requires our critical thinking to ensure fairness, accuracy, and inclusivity.

AI is a powerful tool in our arsenal, not a substitute for our critical thinking and decision-making capabilities. We as humans need to commit to a future where AI and human intelligence work in harmony, enhancing our capabilities without overshadowing the invaluable insights that only we, as humans can provide.

Multiaxis Intelligence serves as your intelligent partner in manufacturing, making daily tasks more efficient while providing advanced AI capabilities for modern manufacturing environments.

1 Acceptance of Terms

By installing, accessing, or using any software provided by Multiaxis, LLC ("the Software"), you acknowledge that you have read and understood both the Preamble regarding AI's role and limitations, and our stance on AI in manufacturing (Appendix A), and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Software.

2 License Grant

Multiaxis, LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for personal and professional purposes, in accordance with these Terms. The license options include:

Single-User License: This license permits installation and use of the Software on one computer by one user at a time.
Site License: A site license permits installation and use of the Software on up to three computers within the same physical site.
This license is provided on an annual subscription basis, requiring renewal for continued access.
This license does not permit you to:
- Resell, sublicense, or redistribute the Software
- Modify, reverse engineer, decompile, or create derivative works
- Use the Software for any unlawful purposes

3 Intellectual Property

All intellectual property rights in the Software, including but not limited to code, text, sound, video, graphics, and other materials, are owned by Multiaxis, LLC. This includes:

All training data used in AI models
The AI solution and its components
AI-generated output and content
Any improvements or evolutions of the AI system

4 Use of the Software

You are authorized to use the Software for the intended purposes as described in the accompanying documentation or product description. You agree not to:

Violate any applicable national, state, local, or international law or regulation
Use the Software in a manner that could disable, overburden, damage, or impair the Software
Interfere with any other party's use of the Software
Attempt to circumvent any security measures
Use the Software for purposes outside its intended scope

5 Termination

This Agreement is effective until terminated. Multiaxis, LLC may terminate your access to the Software without prior notice for violations of these Terms, misuse of AI features, or security concerns. Additionally, failure to renew your annual subscription will result in automatic termination of access. Upon termination, you must uninstall and delete all copies of the Software.

6 Limited Warranty and Disclaimer

Multiaxis, LLC warrants that the Software will function substantially as described in the accompanying documentation for 30 days from the date of original installation.
The Software and AI components are provided "as is" without any warranty, express or implied, including warranties of merchantability or fitness for a particular purpose.

7 Limitation of Liability

To the fullest extent permitted by law, Multiaxis, LLC shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data breaches, or business interruption.

8 Data Usage and Privacy

By using the Software, you agree that:

Multiaxis, LLC may collect non-personal usage data for performance analytics.
Data entered into AI models may be used to improve model functionality.
All data handling is subject to the Multiaxis Privacy Policy.
Multiaxis Intelligence integrates with OpenAI's infrastructure, including vector storage and assistant-based retrieval. While Multiaxis LLC does not access the content of your documents or queries, we retain administrative visibility into metadata (such as assistant identifiers, vector store IDs, and usage activity) for system support, quota management, and diagnostic purposes only.
All documents uploaded to the cloud and processed through AI features are stored and managed on OpenAI's infrastructure. Multiaxis LLC does not directly host or secure this data and relies on OpenAI's enterprise-grade security standards, including encryption and access controls.

This metadata visibility allows us to maintain service reliability, monitor resource allocation, and assist with troubleshooting upon user request. Your content remains private and is governed by OpenAI's and Multiaxis LLC's respective security protocols.

9 AI and Third-Party Services

The Software iterates AI and third-party search services. Use of these features is subject to:

The respective providers' terms and conditions
Rate limits and fair use policies
Potential changes to third-party services that may affect functionality

10 High-Risk Activity Disclaimer

The Software is not designed or intended for use in high-risk environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation, or life-support systems.

11 Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any disputes arising under this Agreement shall be resolved exclusively in the courts of Palm Beach County, Florida.

13 Advanced Processing Modes and Creative AI Output

Certain features within the Software, including Arlo Inference and Limitless Mode, enable advanced AI-generated output that may incorporate custom personas, dialects, or expressive styles. These modes are designed to support flexibility, experimentation, and creativity across a wide range of use cases, including technical analysis, translation, marketing, and informal content generation.

By enabling these features, you acknowledge that:

The content generated may be stylized, fictional, exaggerated, or otherwise not reflective of factual accuracy.
Multiaxis LLC does not guarantee the appropriateness, accuracy, or suitability of creative content generated through these modes.
You are solely responsible for reviewing and validating all AI-generated output before using it in any business, technical, or public context.
These modes are not recommended for critical decision-making, legal, medical, or formal business communications.

The Software may provide interface indicators or tooltips when these features are active. Use of these modes is entirely optional and subject to licensing permissions (e.g., Premier License required for Limitless Mode).

14 IT Security and Compliance

By using the Software, you acknowledge and agree to the following IT security and compliance provisions:

Security Responsibilities: Users are responsible for maintaining appropriate security measures on devices where the Software is installed, including but not limited to current anti-virus protection, regular security updates, and secure password practices.
Network Security: When utilizing the Software's network capabilities, users must ensure their networks maintain industry-standard security protocols. Multiaxis LLC is not liable for security breaches resulting from inadequate network security configurations.
Compliance with Industry Standards: While the Software is designed to align with common manufacturing industry standards, users are solely responsible for ensuring their use of the Software complies with all applicable regulations, certifications, and standards specific to their industry or jurisdiction.
Audit Logging: The Software maintains logs of significant user actions for security and support purposes. These logs may include user identifiers, timestamps, system changes, and feature usage, but will not include proprietary manufacturing data unless explicitly enabled for troubleshooting purposes.
Backup Responsibilities: Users are solely responsible for maintaining appropriate backups of their data. While the Software includes certain data preservation features, Multiaxis LLC is not liable for data loss resulting from user error, system failure, or other circumstances.

Access Management: Users must implement appropriate access controls within their organization to prevent unauthorized access to the Software. This includes proper user provisioning, access revocation for departed employees, and regular access rights reviews.
Export Compliance: Users may not export or re-export the Software in violation of U.S. export regulations or the laws of the jurisdiction where the Software is being used.
Vulnerability Reporting: Users agree to promptly report any discovered security vulnerabilities to Multiaxis LLC and refrain from disclosing such vulnerabilities publicly until Multiaxis LLC has had reasonable time to address them.
Third-Party Penetration Testing: Users may not conduct security testing on cloud-based components of the Software without prior written permission from Multiaxis LLC and any relevant third-party service providers.
Compliance Documentation: Upon written request and subject to confidentiality restrictions, Multiaxis LLC may provide users with documentation regarding the Software's security features to assist with customers' compliance requirements.
